Terms of Service

1. The Services

CitationWorks is a monitoring and analytics platform that reports on how brands appear across large language models and AI assistants, combined with human expert calibration. The Services are provided on an "as is" and "as available" basis. We may modify, add, or discontinue features at any time.

2. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, Billing & Payment

Paid features are offered on a subscription basis. By purchasing a subscription you authorize us and our payment processor to charge the applicable fees to your payment method.

• Payment processor. — Payments are processed securely by Stripe. By providing payment information, you also agree to Stripe's applicable terms. We do not store full payment card numbers; card data is handled directly by Stripe.
• Recurring billing & auto-renewal. — Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) at the then-current rate, unless you cancel before the renewal date. You authorize recurring charges until you cancel.
• Price changes. — We may change fees from time to time. Changes apply to the next billing cycle, and we will provide reasonable advance notice where required by law.
• Taxes. — Fees are exclusive of taxes. You are responsible for any applicable taxes, except taxes on our net income.
• Late or failed payments. — If a charge fails, we may suspend or terminate access to paid features until payment is resolved.

4. Cancellation & Refunds

You may cancel your subscription at any time from your account settings or via the Stripe customer portal. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then.

Except where required by applicable law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features not used. If you believe you have been billed in error, contact us at support@citationworks.com within 30 days and we will review the charge in good faith.

5. Acceptable Use

You agree not to:

• use the Services in violation of any law or third-party rights;
• attempt to gain unauthorized access to the Services or related systems, or interfere with their operation or security;
• reverse engineer, scrape, resell, or create derivative services from the Services except as permitted by law;
• upload malicious code or use the Services to transmit unlawful, infringing, or abusive content; or
• misrepresent the Services or use them to deceive or harm others.

6. Your Content & Data

You retain ownership of the data and content you submit to the Services ("Your Content"). You grant us a worldwide, non-exclusive license to host, process, and use Your Content solely to provide, maintain, secure, and improve the Services. You are responsible for ensuring you have the rights to submit Your Content. Our handling of personal information is described in our Privacy Policy.

7. Intellectual Property

The Services, including all software, designs, text, and trademarks, are owned by CitationWorks Inc. or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes. No other rights are granted.

8. Third-Party Services & AI Outputs

The Services rely on third-party providers (including payment, hosting, and AI/large language model providers) and report on outputs generated by AI systems we do not control. AI outputs may be inaccurate, incomplete, or change over time. The Services provide monitoring and analysis for informational purposes only and do not constitute legal, financial, or professional advice. We do not guarantee any particular result, ranking, or change in how AI systems portray your brand.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that results will be accurate or reliable.

10. Limitation of Liability

To the maximum extent permitted by law, CitationWorks Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless CitationWorks Inc. and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.

12. Suspension & Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a risk to the Services or others. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, and indemnification) will survive.

13. Governing Law & Disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles. The courts located in Tokyo, Japan will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where prohibited by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
